1. Introduction
Welcome to Strategic Fintech Stewardship ("SFS", "we", "us", or "our"). These Terms and Conditions govern your use of our website strategicfstewardship.ch and the consultancy services we provide. By accessing our website or engaging our services, you agree to be bound by these terms.
2. Services Provided
SFS offers high-end consulting services including but not limited to:

All services are provided on a project-by-project or individualized basis as agreed upon between SFS and the client.
3. Engagement and Scope of Work
3.1 Service Agreements
Each engagement will be documented through a separate agreement, Letter of Intent (LOI), or Statement of Work (SOW) that specifies:

3.2 Client Responsibilities
Clients agree to:

Provide accurate and complete information necessary for service delivery

Maintain confidentiality of proprietary methodologies and tools
4. Fees and Payment
4.1 Pricing
Service fees will be specified in individual engagement agreements and may be based on:

4.2 Payment Terms

Payment terms will be specified in each engagement agreement

Late payments may incur interest charges at the rate specified in the agreement or 1.5% per month, whichever is applicable

SFS reserves the right to suspend services for non-payment
4.3 Expenses
Reasonable expenses incurred during service delivery may be billed separately with prior client approval.
5. Intellectual Property
5.1 Pre-Existing IP
All methodologies, tools, frameworks, and know-how owned by SFS prior to or developed independently of client engagements remain the exclusive property of SFS.
5.2 Work Product
Unless otherwise specified in writing:

Deliverables created specifically for a client become the property of the client upon full payment

SFS retains the right to use general knowledge, skills, and experience gained during engagements

SFS may use anonymized case studies and project examples for marketing purposes
5.3 Third-Party Materials
Any third-party software, data, or materials used in service delivery remain subject to their original licenses and terms.
6. Confidentiality
6.1 Mutual Obligations
Both parties agree to maintain confidentiality of proprietary information disclosed during the engagement, including:

Business strategies and plans

Financial information

Technical data and methodologies

Personal information
6.2 Exceptions
Confidentiality obligations do not apply to information that:

Is publicly available through no breach of this agreement

Was rightfully known prior to disclosure

Is independently developed

Must be disclosed by law or regulatory requirement
6.3 Data Protection
SFS complies with applicable data protection laws, including GDPR and Swiss Federal Act on Data Protection (FADP). Client data will be processed only as necessary for service delivery.
7. Professional Standards and Limitations
7.1 Professional Conduct
SFS commits to providing services with reasonable skill and care in accordance with industry standards.
7.2 No Guarantees
While we strive for excellence, SFS cannot guarantee specific outcomes or results. Services are provided on an advisory basis, and clients make their own business decisions.
7.3 Not Financial Advice
Unless explicitly stated in an engagement agreement, services do not constitute financial, investment, or legal advice. Clients should consult appropriate licensed professionals for such advice.
7.4 Educational Services
Tutoring and training services are educational in nature and do not guarantee specific learning outcomes or certifications.
8. Liability and Indemnification
8.1 Limitation of Liability
To the maximum extent permitted by law:

SFS's total liability for any claim shall not exceed the fees paid for the specific service giving rise to the claim

SFS is not liable for indirect, consequential, incidental, or punitive damages

SFS is not liable for losses resulting from client's use or misuse of deliverables
8.2 Client Indemnification
Clients agree to indemnify SFS against claims arising from:

Client's breach of these terms

Misuse of deliverables or services
-
Client's violation of applicable laws
9. Termination
9.1 Termination by Either Party
Either party may terminate an engagement with written notice as specified in the engagement agreement.
9.2 Effect of Termination
Upon termination:

Client shall pay for all services rendered through the termination date

Each party shall return or destroy confidential information
-
Obligations regarding confidentiality and intellectual property survive termination
10. Website Use
10.1 Acceptable Use
Users agree not to:

Use the website for unlawful purposes

Attempt to gain unauthorized access to systems or data

Distribute malware or harmful code

Interfere with website operation
10.2 User Accounts
If you create an account or join our loyalty program:

These Terms and Conditions, together with any engagement-specific agreements, constitute the entire agreement between parties.
14.2 Severability
If any provision is found unenforceable, the remaining provisions remain in full effect.
14.3 Waiver
Failure to enforce any right does not constitute a waiver of that right.
14.4 Assignment
Clients may not assign their rights or obligations without SFS's written consent.
14.5 Force Majeure
Neither party is liable for delays or failures due to circumstances beyond reasonable control.
